Definitions

1.1 ‘Buyer’ means the person who buys or agrees to buy the Goods from Jazim.co.uk.

1.2 ‘Conditions’ means the terms and conditions of sale set out in this contract and any special terms and conditions agreed in writing by Jazim.co.uk.

1.3 ‘Delivery Date’ means the date specified by Jazim.co.uk when the Goods are to be delivered.

1.4 ‘Goods’ means the articles which the Buyer agrees to buy from Jazim.co.uk.

1.5 ‘Price’ means the price for the Goods including carriage, packing, insurance, and VAT.

Conditions Applicable

2.1 These Conditions shall apply to all contracts for the sale of Goods by Jazim.co.uk to the Buyer, to the exclusion of all other terms and conditions.

2.2 All orders for Goods shall be deemed an offer by the Buyer to purchase Goods pursuant to these Conditions.

2.3 Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer’s acceptance of these Conditions.

2.4 Any variation to these Conditions shall be inapplicable unless agreed in writing by Jazim.co.uk.

Price and Payment

3.1 The Price of the Goods shall be Jazim.co.uk’s quoted price. Jazim.co.uk may increase the Price to reflect any increased costs provided the Buyer may cancel within 3 days.

3.2 Payment of the Price and VAT shall be immediate upon receipt of the invoice. Jazim.co.uk shall not deliver the Goods until all outstanding monies are paid.

3.3 If the Buyer fails to pay on the due date, Jazim.co.uk may suspend deliveries and/or appropriate any payment made by the Buyer.

3.4 Payment methods accepted are Stripe or BACS (Bank Transfer).

The Goods

4.1 The Goods shall be manufactured and supplied in accordance with Jazim.co.uk’s specification and relevant standards.

4.2 Jazim.co.uk may make changes to the Goods to comply with safety or statutory requirements.

4.3 Jazim.co.uk does not provide advice on the installation of the Goods.

Warranties

Jazim.co.uk warrants that the Goods supplied will correspond to the description given. All other warranties are excluded to the fullest extent permitted by law.

Delivery of the Goods

6.1 Delivery shall be made to the Buyer’s address on the Delivery Date.

6.2 Jazim.co.uk may deliver by separate instalments.

6.3 Buyer’s failure to take delivery entitles Jazim.co.uk to suspend deliveries and/or treat the contract as repudiated.

Acceptance of the Goods

7.1 Goods delivered in accordance with these terms will not be accepted for return without prior written approval.

7.2 If approved, Jazim.co.uk reserves the right to levy a handling charge.

7.3 Buyer may return non-compliant Goods within 14 days, complying with Jazim.co.uk’s returns procedure.

7.4 Goods shall not conform if there is any substantive defect, damage, shortage, or significant failure.

Retention of Title

8.1 Goods are at the Buyer’s risk from delivery.

8.2 Title does not pass until the Buyer has paid the full price and no other sums are due.

8.3 Until title passes, the Buyer holds the Goods on a fiduciary basis.

8.4 Until title passes, the Buyer may sell or use the Goods at full market value for Jazim.co.uk’s account.

Liability

9.1 In the event of any breach, the remedies of the Buyer shall be limited to damages.

9.2 Jazim.co.uk shall not be liable for any indirect loss or expense, and liability shall be limited to the Price of the Goods.

9.3 If the Buyer declines to accept the Goods, the Buyer shall pay Jazim.co.uk an agreed liquidated damages amount.

Intellectual Property

Any intellectual property rights of the Goods shall be the property of Jazim.co.uk.

Force Majeure

Events beyond reasonable control may suspend performance. Either party may terminate after 30 days.

Set Off

Jazim.co.uk may set off against any money owing unless the Buyer has paid all monies due.

Insolvency

Jazim.co.uk may suspend deliveries, terminate the contract, or exercise rights if the Buyer becomes insolvent.

Assignment

14.1 Jazim.co.uk may assign its rights.

14.2 The Buyer shall not assign without written consent.

Waiver

Jazim.co.uk’s failure to exercise any power shall not constitute a waiver.

Notices

Any notice required must be given in writing and sent by post or fax to the relevant address.
